OnRaven provides a multi-tenant messaging platform that enables businesses to communicate with customers across various channels including WhatsApp, Instagram, Facebook, TikTok, SMS, RCS, email, and other messaging platforms. Our services include unified inbox management, workflow automation, broadcast messaging, and analytics.

3. Account Registration

To use our services, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update your account information as needed
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

4. Acceptable Use

You agree not to use our services to:

• Violate any applicable laws or regulations
• Send spam, unsolicited messages, or harassing content
• Infringe on intellectual property rights
• Distribute malware or harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with the proper functioning of our services
• Violate the terms of any third-party platforms we integrate with

5. Messaging Compliance

You are responsible for ensuring your use of our messaging services complies with all applicable laws and regulations, including but not limited to TCPA, CASL, GDPR, and the terms of service of integrated platforms (Meta, TikTok, etc.). You must obtain proper consent before sending messages and honor opt-out requests promptly.

6. Fees and Payment

Certain features of our services require payment. You agree to:

• Pay all applicable fees as described in your plan
• Provide valid payment information
• Authorize us to charge your payment method
• Pay any applicable taxes

Fees are non-refundable except as required by law or as expressly stated in these Terms.

7. Intellectual Property

OnRaven and its licensors retain all rights, title, and interest in and to the services, including all related intellectual property. You retain ownership of your content but grant us a license to use it to provide our services.

8. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy. By using our services, you consent to such processing and warrant that all data provided is accurate.

9. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT OUR SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONRAVEN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

11. Indemnification

You agree to indemnify and hold harmless OnRaven and its officers, directors, employees, and agents from any claims, damages, losses, and expenses arising from your use of our services or violation of these Terms.

12. Termination

We may terminate or suspend your access to our services at any time for any reason, including violation of these Terms. Upon termination, your right to use our services will immediately cease.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website. Continued use of our services after such changes constitutes acceptance of the new Terms.
